1. Acceptance of Terms

By accessing or using ReelMoments ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

ReelMoments is a web-based platform that enables users to create group video greetings by collecting video messages from multiple contributors and compiling them into a single video. The Service includes:

Project creation and management for various occasions (birthdays, anniversaries, etc.)
Video recording and upload functionality
Automated video compilation with intro sequences, transitions, and lower-thirds
Email notifications and magic link authentication
Project sharing via invite links

3. User Content

3.1 Content Ownership

You retain all rights to the video content you upload or record ("User Content"). By submitting User Content to ReelMoments, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display your User Content solely for the purpose of providing and improving the Service.

3.2 Content Responsibility

You are solely responsible for the User Content you submit. You represent and warrant that:

You own or have the necessary rights to submit the User Content
Your User Content does not violate any laws or third-party rights
Your User Content does not contain harmful, offensive, or inappropriate material
You have obtained all necessary permissions from individuals appearing in your videos

4. Prohibited Conduct

You agree not to use the Service to:

Upload or share illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
Violate any intellectual property rights, privacy rights, or other rights of third parties
Impersonate any person or entity, or falsely represent your affiliation with any person or entity
Interfere with or disrupt the Service or servers or networks connected to the Service
Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
Use the Service for any commercial purpose without our express written consent
Upload viruses, malware, or any other malicious code
Engage in any activity that could harm minors or exploit individuals

5. Payment Terms

5.1 Pricing Tiers

ReelMoments offers three pricing tiers:

Free Tier: Create unlimited occasions with up to 3 contributors per occasion at no cost.
Single Occasion: One-time purchase of $1.99 for a single occasion with unlimited contributors.
Lifetime Access: One-time purchase of $19.99 for unlimited occasions with unlimited contributors for the lifetime of the Service.

All tiers provide the same video quality and features. There are no watermarks on videos at any tier.

5.2 Payment Processing

All payments are processed through secure third-party payment processors (Stripe). We do not store your credit card information. Fees are clearly presented before you complete your purchase.

5.3 Refund Policy

All sales are final. We do not offer guaranteed refunds for one-time purchases (Single Occasion or Lifetime Access). However, we may offer refunds at our sole discretion for technical issues that prevent you from using the Service as intended.

5.4 Lifetime Access Terms

"Lifetime Access" means access for the lifetime of the ReelMoments service. It does not guarantee perpetual access if the Service is discontinued, modified, or shut down. We reserve the right to modify pricing tiers and features for new users at any time, but existing Lifetime Access users will retain their unlimited occasions and unlimited contributors as long as the Service remains operational.

5.5 No Upgrade Credits

Single Occasion purchases cannot be applied as credit toward Lifetime Access purchases. Each purchase is independent and non-transferable.

6. Fair Use and Abuse Prevention

ReelMoments is designed for personal use to create meaningful video greetings for friends and family. We expect all users to use the Service reasonably and in good faith.

6.1 Fair Use Policy

While the Free Tier allows unlimited occasions, we reserve the right to monitor usage patterns and take action against accounts that:

Create an excessive number of projects that appear to be automated, commercial, or abusive in nature
Use the Service in a manner that degrades performance or availability for other users
Attempt to circumvent contributor limits or other Service restrictions
Engage in any activity that suggests commercial exploitation without our express written consent

6.2 Account Suspension

We reserve the right to suspend or limit access to Free Tier accounts that we determine, in our sole discretion, are being used in a manner inconsistent with the intended personal use of the Service. Paid users (Single Occasion or Lifetime Access) who violate these Terms may also have their accounts suspended or terminated as described in Section 7.

We will make reasonable efforts to notify you before suspending your account, but we are not obligated to do so if we believe immediate action is necessary to protect the Service or other users.

7. Account Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms of Service
Fraudulent, abusive, or illegal activity
Uploading prohibited or inappropriate content
Failure to pay applicable fees

Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your User Content and account data.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, secure, or error-free
The quality of any videos, content, or materials obtained through the Service will meet your expectations
Any errors in the Service will be corrected
User Content will be preserved or remain available

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REELMOMENTS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless ReelMoments and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Your access to or use of the Service
Your User Content
Your violation of these Terms
Your violation of any third-party rights

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in the United States.

12. Changes to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
